Directors

Alumina Limited's Board consists of four non-executive directors, including the Chairman, and one executive director (Chief Executive Officer). The non-executive directors are members of the company's Audit Committee, Nominations Committee and Compensation Committee.

Directors are subject to retirement by rotation. Directors may not hold office for a continuous period in excess of three years or past the third annual general meeting following the Director's appointment, whichever is the longer, without submitting for election or re-election.

Mr G John Pizzey BEng (Chem), Dip. Mgt
Chair, Independent Non-Executive Director

Mr Pizzey was appointed as a director of Alumina Limited on 8 June 2007 and was appointed Chairman on 30 November 2011.

He is a Director of Iluka Resources Ltd, Amcor Limited and St Vincent's Institute of Medical Research. Mr Pizzey is also formerly a director and chairman of the London Metal Exchange. He is a member of the Nomination and Compensation Committees and the Audit Committee.

He brings extensive knowledge gained in over 33 years in the international resources industry and participation in international joint ventures including being Chairman of Alcoa of Australia Ltd and Executive Vice President and Group President of the Alcoa World Alumina and Chemicals joint venture, in which Alumina Limited has a 40% interest.
Mr Peter A F Hay LLB
Independent Non-Executive Director

Mr Hay has been a Director of Alumina Limited since 11 December 2002. He is Chairman of the Advisory Board of Lazard in Australia, and is a director of Landcare Australia Limited, Australian and New Zealand Banking Group, GUD Holdings Limited, NBC Co Limited and Epworth Foundation and was appointed a director of Myer Holdings in February 2010.  He is a former Chief Executive Officer of the law firm Freehills. He is a member of the Audit Committee, and Nomination Committee and Chair of the Compensation Committee. Mr Hay brings to the Board considerable legal experience and advisory skills particularly in relation to public company takeovers, corporate governance matters and risk management.
Ms Emma Stein Bsc (Physics) Hons, MBA, FAICD
Independent Non-Executive Director
Ms Stein was appointed as a director of Alumina Limited on 3 February 2011. She has considerable experience with industrial customers and comprehensive set of commercial skills in international energy and utilities markets, investments in long life assets and projects, and the upstream oil and gas sector. She is a member of the Audit Committee, and Compensation Committee and Chair of the Nomination Committee.

Formerly the UK Managing Director for French utility Gaz de France's energy retailing operations, Ms Stein moved to Australia in 2003. Before joining Gaz de France she was UK Divisional Managing Director for British Fuels.

Ms Stein is currently Non-Executive Director and Audit Chair for engineering company Clough Limited, Non-Executive Director for Diversified Utilities Energy Trust, which owns gas and electricity assets in Australia and the United States, and Non-Executive Director for Programmed Maintenance Group.

Mr Peter C Wasow BCom, GradDipMgmt, FCPA
Independant Non-Executive Director
Mr Wasow was appointed a director of Alumina Limited on 26 August 2011. He is a member of the Nomination Committee, Compensation Committee and Chair of the Audit Committee. He is also a non-executive director of Murchison Metals Limited. Mr Wasow served 8 years at major Australian oil and gas producer Santos Limited from 2002 to 2010. Initially appointed as Chief Financial Officer, he assumed the additional role of Executive Vice President from 2008. At Santos Mr Wasow was responsible for corporate development, corporate strategy and planning, investor relations, accounting, corporate finance, taxation and audit.

Prior to joining Santos in 2002, Mr Wasow held several senior roles over a 23 year career at BHP including Vice President of Finance.

Mr Wasow brings to the Board extensive financial skills and experience in the resource and energy industries.
Mr John Bevan BCom
Chief Executive Officer

Mr Bevan was elected as Executive Director and Chief Executive Officer on 16 June 2008. Mr Bevan joined Alumina Limited from BOC Group Plc where he most recently held the position of chief executive of Process Gas Solutions and was elected to the Board of Directors. He has had a long career with the BOC Group Plc including a variety of management roles in Australia, Korea, Thailand and the UK before becoming chief executive of Asia in 2000. He was a director of BOC Plc in London from 2003 - 2007. Mr Bevan was appointed Chairman of the International Aluminium Institute on 30 April 2012.

Mr Bevan brings strong commercial and operational experience gained through operating in joint ventures in many parts of the world, particularly Asia.
